1. Acceptance
By booking an AI Assessment, purchasing lead generation credits, using the signalarc.io website, subscribing to a service, or otherwise engaging SignalARC, you agree to these Terms of Service and our Privacy Policy. If you don't agree, please don't use the service.
These terms form a binding agreement between you (or the business you represent) and SignalARC, a sole proprietorship operated by Joshua Onofrio in Kelowna, British Columbia, Canada.
2. What we provide
2.1 AI Tools Assessment ($999 USD)
A productized consulting engagement consisting of:
- A pre-call questionnaire (roughly 5 minutes to complete)
- A client-paced live audit call (typically 8–12 minutes, longer if you want), recorded and transcribed with your consent
- A written custom report (typically 10–15 pages) delivered via email within 48 hours of the call, including an Impact vs. Effort matrix, prioritized AI-tool recommendations, and a 7-day implementation plan
- 30 days of async follow-up (Loom or email) for clarifying questions about the report
The Assessment does not include building, installing, or implementing the recommended tools for you. That's a separate done-for-you engagement available on request.
2.2 B2B Content Syndication (Lead Generation)
A prepaid-credit service where SignalARC delivers verified B2B leads to you based on your Ideal Customer Profile and content asset. Details — including cost per lead, minimum volume, and delivery cadence — are in your order confirmation.
2.3 Other services
Done-for-you AI implementations, email nurture sequences, blog content, LinkedIn ad management, and related services are offered on a scope-and-price-agreed basis and are governed by a separate statement of work in addition to these Terms.
3. Payment
Currency. All prices on signalarc.io are in US Dollars unless explicitly noted otherwise.
Processor. Payments are handled by Stripe. By paying, you agree to Stripe's terms as well as ours.
Timing. The AI Assessment is paid in full before the audit call is scheduled. Content syndication credits are prepaid and drawn down as leads are delivered.
Taxes. You are responsible for any sales tax, GST, HST, VAT, or other applicable taxes in your jurisdiction. SignalARC may collect and remit Canadian GST where required.
Failed payments / chargebacks. If a payment fails or is reversed without a valid reason, we may pause or terminate your service until payment is resolved.
4. Refund policy
4.1 AI Assessment — 100% satisfaction guarantee
If after receiving your written report you don't believe the Assessment was worth the $999 you paid, email [email protected] within 14 days of delivery with a brief explanation. We will refund your payment in full, no argument. You keep the report.
4.2 Content syndication credits
Unused prepaid credits are refundable within 30 days of purchase if you haven't yet submitted a lead-campaign brief. Credits that have been used to deliver verified leads are non-refundable.
4.3 Done-for-you engagements
Refund terms are governed by the specific statement of work.
5. Your responsibilities
When you use SignalARC, you agree to:
- Provide accurate information — business details, contact info, and answers during calls and questionnaires.
- Show up — for scheduled calls, or reschedule at least 24 hours in advance. Second-consecutive no-shows may forfeit the payment.
- Use our deliverables lawfully — don't resell, rebrand, or redistribute our reports, prompts, or tools without written permission.
- Not misrepresent the service — in case studies, testimonials, or reviews.
- Respect the law — you are responsible for ensuring your use of the tools and tactics we recommend complies with the laws, regulations, and professional-body rules applicable to your business (e.g., CAN-SPAM, CASL, state privacy laws, realtor licensing requirements, legal-profession rules of conduct, financial-services regulations, etc.).
6. Our responsibilities and disclaimers
We promise to:
- Deliver services as described on signalarc.io and in your order confirmation
- Give you honest, well-researched recommendations based on the information you share with us
- Protect your personal information per our Privacy Policy
- Honor the refund policy in Section 4
What we do NOT promise
- Specific results. "Reclaim 5–10 hours a week" is a typical outcome for clients who implement the plan, not a guarantee of outcome. We don't guarantee specific revenue, lead volume, time savings, or business results.
- Tool recommendations stay current forever. The AI and SaaS tooling landscape changes fast. Tools we recommend may change pricing, features, or go out of business.
- Legal, financial, or medical advice. Our reports are business-workflow recommendations, not legal, accounting, tax, financial, or medical advice. Consult a licensed professional for those.
- AI output accuracy. AI tools we recommend (ChatGPT, Claude, Gemini, etc.) can produce mistakes, hallucinations, and outputs that need human review. Do not use AI output in regulated or high-stakes contexts without qualified human verification.
The service is provided as-is and as-available. To the extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
7. Intellectual property
7.1 What we own
SignalARC owns the signalarc.io website, our methodology (including the AOA framework), our report templates, our prompt library, our internal scripts and question banks, our content and documentation, and our trademarks. You don't acquire any ownership of these by using the service.
7.2 What you own
You own your business data, the content assets you give us for syndication, the contents of your workflows and recordings, and the specific custom report we write for you. You grant SignalARC a limited license to use these materials only to deliver the service (including, with your consent, processing transcripts with third-party AI services to generate your report).
7.3 License to use our deliverables
Your purchased report, the prompts in your report, and any templates we provide are licensed to you for use inside your own business, in perpetuity. You may not resell, rebrand, or publicly redistribute them.
7.4 Anonymized aggregation
We may use anonymized, aggregated patterns across client engagements (e.g., "most home-services clients lose 4+ hours a week on quoting") to improve our own tools and content. No identifying client information is ever used without explicit consent.
8. Confidentiality
We treat the specific details of your business — revenue, workflows, team situations, client lists, strategies — as confidential. We won't share them with anyone outside SignalARC except the vendors listed in our Privacy Policy (Section 4) who are bound by equivalent confidentiality obligations. This obligation continues indefinitely after the service ends.
9. Limitation of liability
To the maximum extent permitted by law:
- SignalARC's total liability for any claim arising from the service is limited to the amount you paid us in the twelve months immediately preceding the claim.
- We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages — including lost profits, lost data, business interruption, or loss of goodwill — even if foreseeable.
- We are not responsible for the actions or results of third-party tools we recommend (e.g., if ChatGPT produces an incorrect answer, or a CRM loses data).
10. Indemnification
You agree to indemnify and hold SignalARC harmless from any claims, damages, or legal fees arising from: (a) your breach of these Terms; (b) your use of deliverables in ways that violate laws or third-party rights; (c) misrepresentations you make to us about your business; or (d) actions you take in your own business based on our recommendations.
11. Governing law and disputes
These Terms are governed by the laws of the Province of British Columbia, Canada, without regard to conflict-of-laws principles.
Before filing any lawsuit, you agree to first email [email protected] and try to resolve the issue directly. Most things can be worked out in a single call.
If direct resolution fails, disputes will be settled in the courts of British Columbia, Canada, except that either party may pursue claims under $5,000 in small-claims court in either party's home jurisdiction.
12. Changes to these Terms
We may update these Terms as the service evolves. Material changes will be announced via email to active clients and posted at the top of this page with a new "Last updated" date. Continued use of the service after a change means you accept the revised Terms.
